Membership By-Laws

By-Laws are established in accordance with the Constitution of MSSC.

For purposes of clarity, By-Laws are organized by categories. These categories are arbitrary and can be changed or added to as needed. The wording of each By-law, however, cannot be changed except in accordance with the procedure set forth in Article V, Section 3 (Voting for By-law Amendment) of the Constitution of MSSC.

100 Series
By-Laws numbered 100-199 are general.

101 - Support of MSSC Programs
To implement the purpose as stated in the Constitution of MSSC, the membership will support the competition training programs and encourage competitive activities, seek to improve sportsmanship, maintain a quality membership and clubhouse, and offer social activities for its members.

102 - Support of National Programs
To implement the purpose as stated in the Constitution of MSSC, the membership will support the missions and purposes of official athletic organizations and coordinate with Mount Snow LTD. and the American Skiing Company.

103 - Fiscal Year
The fiscal year and membership year of MSSC shall begin July 1st and end June 30th of the following year.

200 Series
By-Laws numbered 200-299 pertain to the requirements, duties, and responsibilities of members of MSSC.

201  - Membership Definitions (updated 4/2004)
Membership is available under these various membership classifications:
Category I - Adult Membership: an individual who is age 21 or older as of January 1st of the membership year.
Category II - Family Membership: an adult and/or spouse or civil union partner and their dependent children under the age of 25.
Category III - Competition Membership: any individual who is a participant in the Competition Program and whose parent(s) are NOT ski club members.
Category IV - Associate Membership: an adult between the ages 25 and 35 whose parent(s) are also current members of the club. An Associate Member is NOT entitled to rent his/her own locker.

202 - Membership Details
Those individuals who gain membership under the classification of Adult Membership are specifically referred to in the Constitution and By-Laws as Adult Members. Those individuals who gain membership under the classification of Junior Membership are specifically referred to in the Constitution and By-Laws as Junior Members. Those individuals who gain membership under the classification of Family Membership but who would qualify for Adult Membership are specifically referred to in the Constitution and By-Laws as Adult Members. Those individuals who gain membership under the classification of Family Membership but who would qualify for Junior Membership are considered Junior Members and are specifically referred to in the Constitution and By-Laws as Junior Members.

203 - Requirement for Competition
To participate in the competitive training programs supported by MSSC, an individual must be a member of the MSSC and comply with all requirements of the Constitution, By-Laws, and policies voted by the Adult Membership.

204 - Dues
All Members must pay their respective dues according to the regulations voted at the Annual Membership. Any member who fails to pay assessed dues, locker and other fees by September 30th of the Membership year, will be dropped immediately from the membership list and lose their locker privilege. Such an individual can be reinstated as a member as soon as dues are paid.

205 - Voting Privileges
All voting privileges rest only with Adult Members. Proxy votes shall be permitted from Qualified Members for a specific issue or question on a posted agenda. Proxy votes must be received by the Recording Secretary seven days prior to the Membership meeting. Proxy votes shall not be used nor accepted for elections.

206 - Meeting Privileges
All Board and Membership meetings are open to all Adult Members.

207 - Clubhouse Privileges
All Members may use the Clubhouse according to the procedures established by the House Committee. Any violation of the rules or misuse of the Clubhouse by a Member may be cause for termination of MSSC membership or a lesser penalty as determined by the House Committee. Decisions may be appealed to the Board.

300 Series
By-Laws numbered 300-399 pertain to MSSC meetings.

301 - Rules of Order
Roberts Rules of Order will be in effect at all Board and Membership meetings unless in contradiction to the Constitution or By-Laws of MSSC.

302 - Quorum
At all Membership meetings a quorum shall consist of those Adult Members present unless specifically stated otherwise by the Constitution or By-Laws.

303 - Decision by Vote
At all Membership meetings, decisions will be made by a majority vote of Adult Members unless specifically restricted by the Constitution of By-Laws.

304 - Regular Membership Meetings
One Regular Membership Meeting shall be held prior to January 1st. The date for the Annual Membership Meeting will be set by the Board no later than February 1st and notification provided to the membership by the Recording Secretary.

305 - Special Membership Meetings
The Board may call a Special Membership Meeting by a majority vote at a Board meeting or by majority vote of all Directors as obtained by mail or telephone ballot. The Membership may require the Board to call a Special Membership meeting by obtaining signatures of ten percent of the Adult Members and presenting such to the President who will require the Recording Secretary to notify the Membership. A Special Membership meeting may be set by a majority vote of those present at a regular meeting of the Membership. Notification of such action will be posted immediately by the Recording Secretary on the MSSC bulletin board.

306 - Board Meetings
A quorum for all Board meetings is defined in Article III, Section 4 of the Constitution. Decisions will be made at all Board meetings by majority vote of those present. No official business may take place without a quorum present. The Board will have the power to make decisions between Membership meetings, but must inform the members of such at the next Membership meeting. The Board will meet on a regular basis as needed, but not less than four times per membership year. At Board meetings preceding regular Membership meetings, the Board will write an agenda for the upcoming Membership meeting. This agenda will be posted by the Recording Secretary on the MSSC bulletin board at least two weekends prior to the Membership Meeting. Special meetings of the Board may be called by the President with the approval of two other Directors.

307 - Annual Membership Meeting
The date for the Annual Membership Meeting will be set by the Board no later than February 1st and notification provided to the membership by the Recording Secretary. At the Annual Membership Meeting, the following business will take place: a. presentation of the proposed budget and dues structure for the following year by the Treasurer. b. annual reports from the President, Vice-President for Alpine Racing, Vice-President for Freestyle, Vice-President for Snowboard, Standing Committee chairs, and any special committees. c. election of Officers and Standing Committee Chairs for the coming year. d. any other business of MSSC.

400 Series
By-Laws numbered 400-499 pertain to nominations and elections.

401 - Nominating Committee
A Nominating Committee of three shall be appointed by the Board each year and presented to the Membership at a Regular Membership meeting. No present Director may serve on the Nominating Committee for the upcoming year. No member of the Nominating Committee is eligible for nomination to an officer’s position; however, one may be nominated to Chair a Committee.

402 - Nominations
The Officers and Standing Committee chairs shall be nominated from a single slate presented in writing to the Membership by the Nominating Committee by March 1st and posted at that time on the MSSC bulletin board. Other nominations may be submitted to the Recording Secretary in writing no less than ten days before the Annual Membership meeting. Such nominations must be supported by twenty-five signatures of adult Members. These validated nominations will be posted immediately on the MSSC bulletin board.

403 - Election
Each Officer and Standing Committee Chair shall be elected by a plurality vote of those Adult Members present at the Annual Membership meeting. In the absence of other nominations, the adult Membership may vote to request the Recording Secretary to cast one ballot on behalf of the Adult Membership electing all of the Officers and Standing Committee Chairs presented on a single slate.

404 - Filling Vacancies
Any vacancy occurring among the Officers, Vice-Presidents, or Standing Committee Chairs will be filled by appointment by the President until the next regularly scheduled election according to the procedure outlined in this section. In case of a vacancy in the office of the President, the most senior Vice-President will assume the duties of President in addition to the duties of the most senior Vice-President. A new President will be elected for the remainder of the un-expired term at the next Annual Membership meeting or by a Special Membership meeting.

405 - Term Overlap
Overlapping terms of office as set forth in the Constitution will be established on a one-time basis using the following guidelines.

406 - Term of Interim Appointments
Interim vacancies filled by appointment by the President until the next Annual Membership meeting or interim vacancies that remained unfilled by appointment will be filled by election at the Annual Meeting of the Membership for the un-expired remainder of the original term only.

500 Series
By-Laws numbered 500-599 pertain to Committees.

501 - Finance Committee 
The Finance Committee shall consist of the elected Chair and two additional members. The duties of the Finance Committee are:

  1. To act as reviewers for MSSC fiscal records.
  2. To review the Treasurer’s records just prior to the Annual Membership meeting, to review the Treasurer’s records at the request of the Board and as requested by vote of the adult Membership.
  3. To investigate financing of long term capital expenditures.
  4. To review goals and coming expenses of the MSSC with goals of the Mount Snow Commpetition Programs and Mount Snow Academy to be sure that compatibility is maintained.
  5. To present for approval of the Membership formulas for disbursement of moneys from MSSC fundraisers to programs supported by MSSC.

502 - Rules Committee 
The Rules Committee shall consist of an elected Chair and interested members. The names of such shall be submitted immediately to the appropriate Vice-President. The duties of the Rules Committee are:

  1. To assure compliance with the Constitution and By-Laws of MSSC.
  2. To propose amendments and bylaws if requested by the Board or Membership.
  3. To maintain an accurate copy of the Constitution and By-Laws.

503 - House Committee 
The House Committee shall consist of an elected Chair and interested members. The names shall be submitted immediately to the appropriate Vice-President. The duties of the House Committee are: a. to formulate rules governing the use and control of the clubhouse to be approved by the Board. b. to handle written complaints and written suggestions concerning the operation of the Clubhouse. c. to supervise the maintenance of the Clubhouse. d. to recommend to the Board and/or Membership improvements for the Clubhouse. e. to maintain and enforce an up-to-date set of rules for the Clubhouse which will be posted in an appropriate place.

504 - Social Committee 
The Social Committee shall consist of the elected Chair and interested members. The names of such shall be submitted immediately to the appropriate Vice-President. The Social Committee shall suggest, plan and conduct activities of a social nature for members.

505 - Ways and Means Committee 
The Ways and Means Committee shall consist of the elected Chair and interested members. The names shall be submitted immediately to the appropriate Vice-President. The Ways and Means Committee shall recommend fundraising activities to the Board and Membership to provide funds for the programs supported by the MSSC. Funds raised shall be dispersed according to the formula approved at a Membership meeting.
