ARTICLE I NAME AND PURPOSE
The name of this organization is the Mount Snow Ski Club (MSSC).
Section 2: Purpose
The purpose of MSSC is to promote recreational and competitive winter sports activities at Mount Snow, Vermont.
ARTICLE II MEMBERSHIP AND MEETINGS
Section 1: Membership
Membership of MSSC is open to all persons who support the Purpose and pay the dues.
Section 2: Meetings
MSSC will hold one Annual Membership meeting in the spring to hear Standing Committee reports, elect officers for the coming year, and set membership dues for the next year. MSSC will hold at least one Regular Membership meeting per year as set forth in the By-Laws. Special Membership meetings can be called according to the procedure set forth in the By-Laws. At all Membership meetings only Adult Members as defined in the By-Laws may vote pursuant to Article V.
ARTICLE III OFFICERS, COMMITTEES, COMPOSITION OF THE BOARD
Section 1: Officers
The Officers of MSSC will be President, Vice-President for Alpine Racing, Vice-President for Freestyle, Vice-President for Snowboard, Treasurer, and Recording Secretary. The Terms of Office for the President, Treasurer, and Recording Secretary will be three years but overlap so that only one of these offices becomes vacant each year. The terms of office for Vice-Presidents will be for three years but overlap so that only one Vice President office becomes vacant each year. Seniority of Vice Presidents will be that of and specifically limited to the three-year term of office since the last election for that particular office, not total length of time in office through appointment and/or re-election. The procedure for initiating and maintaining the vice-presidential sequence is set forth in the By-Laws. All Officers' terms run concurrent with the Club's fiscal year.
Section 2: Standing Committees
The Standing Committees will consist of Finance, Ways and Means, House, Social, and Rules. Any Adult Member of MSSC is eligible to chair a Standing Committee. The Chairs of the Standing Committees will be elected to one year terms at the Annual Membership meeting according to the procedures set forth in the By-Laws. All Committee terms run concurrent with the fiscal year. Special Committees will be established as needed by the Board or by vote at a Membership meeting.
Section 3: Board of Directors
The MSSC Board of Directors (Board) will be composed of the Officers, a representative of Mount Snow Academy proposed by the Academy and approved by the MSSC Board, a representative of Mount Snow proposed by Mount Snow and approved by the MSSC Board, and Chairs of the Standing Committees. The Board, the members of which will be known as the Directors, will meet regularly to conduct the business of the MSSC between Membership meetings in accordance with this Constitution and By-Laws. The Board is responsible for all decisions relevant to lease payments, insurance coverage, governmental permits, taxes, and other necessary requirements pertinent to the owning or leasing of property. The Board will have the power to hire and direct personnel to assist in the operation of the MSSC.
Section 4: Meetings of the Board
Meetings of the Board shall be called as necessary. A quorum for Board meetings shall consists of one more than half of the composition of the standing Board. Each Director shall have one vote. Decisions shall be by simple majority. Minutes of Board meetings will be available to Adult Members upon request.
ARTICLE IV DUTIES OF OFFICERS
Section 1: President
The duties of the President are:
- To prepare an agenda and preside over all meetings of the Board and Membership
- To carry out all policies of MSSC as set forth in this Constitution and By-Laws or voted by the Membership
- To conduct necessary business of MSSC between Board meetings in accordance with this Constitution and By-Laws and policies voted by the Membership
- To act as coordinator for the MSSC’s support of the Mount Snow Alpine Training Center
- To be a member ex-officio of all committees except a Nominating Committee
- To vote only in case of a tie at Board and Membership meetings
Section 2: Senior Vice-President
The duties of the senior (third-year) Vice-President are:
- To carry out the duties of the President in case of his absence
- To coordinate the activities of all Standing Committees
- To maintain an up-to-date list of all Standing Committees with their respective chairmen and members
- To represent divisional interests of the specific Vice-Present title to the Board
Section 3: Second-year Vice-President
The duties of the second-year Vice-President are:
- To carry out the duties of the President in case of his absence and that of the most senior Vice-President
- To coordinate the activities of special committees and report the activities of special committees to the Board
- To maintain an up-to-date list of all Special Committees with their respective chairmen and members
- To be a member ex-officio of all Special Committees, except a Nominating Committee
- To represent divisional interests of the specific Vice-Present title to the Board
Section 4: Junior Vice-President
The duties of the junior (first-year) Vice-President are:
- To carry out the duties of the President in case of his absence and that of the more senior Vice-Presidents
- To be a member ex-officio of all Special Committees, except a Nominating Committee.
- To represent divisional interests of the specific Vice-Present title to the Board
Section 5: Treasurer
The duties of the Treasurer are: a. to keep full, accurate, up-to-date accounts of the receipts and expenditures of MSSC b. to present a current financial statement at the Membership meetings and at regular Board meetings c. to present, if requested in advance, a complete financial statement at special Board and Membership meetings. d. to prepare a budget for presentation at the Annual Membership meeting e. to supervise the collection of annual dues and maintain an up-to-date list of members. f. to present financial records to the Finance Committee for annual review or upon request. g. to make all disbursements in accordance with this Constitution and By-Laws and the approved budget.
Section 6: Recording Secretary
The duties of the Recording Secretary are: a. to take accurate minutes at all Board and Membership meetings and to present minutes for approval at the next meeting of body, respectively b. to post a copy of all approved minutes on the MSSC bulletin board c. to make necessary notifications to the Board and Membership as required by this constitution and By-Laws or requested by the Board. d. to coordinate a newsletter to members following the Annual Membership meeting and when requested by the Board.
ARTICLE V VOTING AND AMENDMENTS
Section 1: Voting at Membership Meetings
A quorum for Membership meetings shall consist of those adult Members present. Qualified Members may vote in person or by proxy as defined in the By-Laws.
Section 2: Voting for Constitution Amendment
This constitution can be amended by a two-thirds affirmative vote of 40% of the Adult Members. Proposed amendments must be presented by the Board in writing to the Membership one month prior to presentation at a Membership meeting where discussion of said amendments will be held. Voting can then take place to approve or disapprove by ballot at that meeting or a mailed ballot.
Section 3: Voting for By-law Amendment
The By-Laws of MSSC can be changed by a majority vote at Membership meetings.
